Please read these Terms of Service ("Terms") carefully before using BuildLoops.ai. These Terms constitute a legally binding agreement between you and BuildLoops, Inc. ("BuildLoops," "we," "us," or "our") governing your access to and use of the BuildLoops platform, website, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and our AI Terms Addendum (collectively, the "Agreement"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Definitions
"Account" means your registered BuildLoops account.
"Content" means any text, data, information, files, images, code repository metadata, customer interview notes, survey responses, competitive intelligence, or other materials you submit, upload, or input into the Service, including all inputs to Station loops.
"Lines" means the five major milestone categories within the BuildLoops system: Signal, Offer, Channel, Traction (horizontal), and Capital (vertical).
"Stations" means the 23 individual structured processes within the Lines, each of which runs a 5-phase AI-guided loop to produce specific Outputs.
"Loop" means the 5-phase AI-guided process that runs within each Station: a structured sequence that takes your inputs, generates evidence, and produces a concrete Output.
"Outputs" means the recommendations, analyses, diagnostics, reports, evidence syntheses, action plans, investor materials, and other materials generated by the Service based on your Content and accumulated context.
"Context" means the accumulated data, evidence, and intelligence that flows between Stations and Lines, enriching subsequent Outputs. Context from earlier Stations serves as input to later Stations.
"Subscription" means your selected pricing plan (Free, Pro, or Teams).
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 16 years of age to use the Service. If you are between 16 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@buildloops.ai if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account where you have failed to maintain the security of your credentials.
2.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
3. The Service
3.1 Description
BuildLoops is an AI-powered operating environment that guides builders from a deployed product to a viable business through a structured system of 5 Lines and 23 Stations. Each Station runs a 5-phase AI-guided Loop that takes your Content, generates evidence, and produces actionable Outputs. Context accumulates across Stations --- the further you progress through the system, the more informed each subsequent Station becomes. The Service may include integrations with third-party tools across our partner ecosystem that you choose to connect.
3.2 AI-Generated Outputs
Outputs are generated by artificial intelligence systems and are intended as guidance, not as professional advice. Outputs do not constitute legal, financial, investment, tax, accounting, or other professional advice.
You acknowledge that:

AI systems may produce inaccurate, incomplete, or misleading results. You are solely responsible for independently evaluating and verifying any Output before relying on it.

BuildLoops does not guarantee that following any Output will result in business success, revenue, funding, or any particular outcome.

The quality of Outputs depends in significant part on the quality and accuracy of the Content you provide.

AI models used by the Service may be updated or changed over time, which may affect the style, quality, or characteristics of Outputs.

BuildLoops does not warrant that Outputs are free from third-party intellectual property claims. You are responsible for ensuring that your use of Outputs does not infringe the rights of any third party.

You should consult qualified professionals (legal, financial, etc.) before making significant business decisions based on Outputs.
3.3 Context Accumulation
A core feature of the Service is that Context from earlier Stations is retained and used to inform later Stations within your account. For example, customer language captured during the Signal Line flows into value proposition generation in the Offer Line, which feeds message testing in the Channel Line. This accumulated Context improves the relevance and quality of Outputs over time. Deleting your account will permanently remove this accumulated Context (see Section 13).
3.4 Third-Party Integrations and Partner Ecosystem
The Service integrates with third-party tools across our partner ecosystem, including analytics platforms, payment processors, audience intelligence services, marketing tools, and others as described in our Privacy Policy. Your use of those third-party services is governed by their respective terms and privacy policies. BuildLoops is not responsible for the availability, accuracy, or practices of third-party services. We do not guarantee that any particular integration will remain available. When the Service recommends a partner tool within a Station, the recommendation is based on relevance to your Station context and product stage.
3.5 Service Availability and Modifications
We strive to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any aspect of the Service at any time. For material changes affecting paid subscribers, we will provide at least 30 days' notice. For changes to AI model providers that power the Service, we will provide at least 30 days' notice, as described in our Privacy Policy Section 4.4.
4. AI Terms Addendum
The following terms apply specifically to the AI-powered features of the Service. These terms supplement (and do not replace) the general Terms above.
4.1 Definitions
"Input" means any Content, data, or materials you submit to a Station loop for processing by AI systems.
"Output" means the resulting text, analysis, recommendation, or other content generated by the AI system in response to your Input.
4.2 No Training on Your Data
BuildLoops does not train any AI models using your Content, Inputs, or Outputs. Our AI subprocessors are contractually prohibited from training any AI models using your Content, Inputs, or Outputs. Our AI subprocessors maintain zero-retention policies, meaning your data is processed ephemerally and is not stored on provider systems after the Output is returned.
4.3 AI Provider Changes
We may change the AI model providers that power the Service. Such changes may affect the style, quality, or characteristics of Outputs. We will notify you at least 30 days before a change in AI model provider takes effect. You may object to the change by contacting us within 15 days of notification. If we cannot resolve your objection, you may terminate your Subscription.
4.4 Prohibited AI Uses
You may not use Outputs from the Service:

As professional legal, financial, tax, investment, medical, or clinical advice, or present Outputs as such to any third party.

To make automated decisions that produce legal effects or similarly significant effects on individuals without meaningful human review.

In connection with high-risk activities, including life support systems, emergency services, autonomous vehicles, or any application where AI errors could lead to death, personal injury, or significant property damage.

To generate content that is deceptive, fraudulent, or that misrepresents the source or nature of the advice (e.g., presenting AI-generated guidance as human professional advice).

In any manner that violates applicable AI regulations, including the EU AI Act, state AI laws, or other jurisdiction-specific AI governance requirements.
4.5 AI Regulatory Compliance
AI regulation is evolving rapidly. We monitor changes in applicable AI laws and regulations (including the EU AI Act, the Colorado AI Act, the California AI Transparency Act, and similar frameworks) and will modify our AI features as necessary to maintain compliance. Such modifications will not be treated as a material adverse change to the Service. You are responsible for ensuring that your use of Outputs complies with all laws applicable to you and your business.
5. Subscriptions and Payment
5.1 Plans
The Service is offered under multiple subscription tiers, currently including Free, Pro, and Teams plans. Features, pricing, and plan details are described on our pricing page and may be updated from time to time. Changes to pricing for existing subscribers will take effect at the next billing cycle following at least 30 days' notice.
5.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are stated in U.S. dollars unless otherwise indicated. Payment is processed through Stripe. You authorize us to charge your selected payment method for all applicable fees.
5.3 Free Tier
We offer a free tier that provides access to the Signal Line triage (Stations S1--S5). Free tiers may have limited features or usage caps. We reserve the right to modify or discontinue free offerings at any time with reasonable notice.
5.4 Refunds
Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to a material deficiency in the Service, contact us at billing@buildloops.ai within 14 days of the charge. We will review refund requests on a case-by-case basis.
5.5 Taxes
Fees are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes associated with your subscription, except for taxes based on our net income.
6. Your Content and Intellectual Property
6.1 Ownership of Your Content
You retain all ownership rights in the Content you submit to the Service. BuildLoops does not claim ownership of your project descriptions, business data, customer information, interview notes, competitive intelligence, or other materials you provide.
6.2 License to BuildLoops
By submitting Content to the Service, you grant BuildLoops a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your Content solely for the purposes of providing and improving the Service. This includes processing your Content through AI systems to generate Outputs, retaining Context across Stations, and sharing Content with third-party integrations you have authorized. This license terminates when you delete your Content or your account, except for anonymized or aggregated data as described in our Privacy Policy.
6.3 Ownership of Outputs
Subject to our intellectual property rights in the underlying Service, algorithms, prompts, Station architectures, and Loop designs, you own the Outputs generated from your Content. You are free to use, modify, distribute, and commercialize Outputs as you see fit, subject to these Terms.
Important: BuildLoops does not warrant that Outputs are original or free from third-party intellectual property claims. Because Outputs are generated by AI systems that may draw on patterns from training data, it is possible that Outputs could be similar to content produced for other users or to pre-existing works. You are solely responsible for ensuring that your use of Outputs does not infringe the rights of any third party.
6.4 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, non-exclusive, royalty-free license to use and incorporate that feedback into the Service without any obligation to you.
7. Acceptable Use
You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights.

Submit Content that is defamatory, obscene, threatening, or that promotes illegal activity.

Attempt to gain unauthorized access to the Service, other users' accounts, or any related systems or networks.

Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, prompts, Loop architectures, or underlying models of the Service.

Use the Service to build a competing product or to systematically extract data or prompts for commercial purposes outside of normal use.

Introduce viruses, malware, or other harmful code into the Service.
-
Use automated means (bots, scrapers, etc.) to access the Service except through our published APIs.

Misrepresent your identity, affiliation, or the source of Content you submit.
-
Use or distribute Outputs in a manner that misleads others about the nature of the advice (e.g., presenting AI-generated guidance as professional human advice without disclosure).

Use the Service for any of the prohibited AI uses described in Section 4.4.

Submit Content containing sensitive personal data (such as Social Security numbers, health records, or financial account numbers) of third parties without their informed consent and a lawful basis for processing.
We reserve the right to suspend or terminate your account if you violate these provisions, with notice where practicable. We may publish a standalone Acceptable Use Policy at buildloops.ai/legal/aup, which will be incorporated into these Terms by reference when published.
8. Intellectual Property Rights
8.1 BuildLoops Property
The Service, including its design, code, algorithms, AI models, prompts, Station architectures, Line structures, Loop designs, context accumulation systems, user interface, documentation, and all related intellectual property, is owned by BuildLoops and protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without prior written consent.
8.2 Open Source
The Service may incorporate open-source software components, which are subject to their respective licenses. A list of material open-source components and their licenses is available upon request.
9. Confidentiality
We recognize that the Content you submit may include confidential business information, including competitive strategies, pricing data, customer research, and investor materials. We will treat your Content with reasonable confidentiality and will not disclose it to third parties except as described in our Privacy Policy, as required by law, or with your consent. Our AI subprocessors are bound by confidentiality obligations and zero-retention agreements. Our confidentiality obligations do not apply to information that is publicly available, independently developed by us, or lawfully received from a third party without restriction.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, BuildLoops does not warrant that:

The Service will meet your specific requirements or expectations.

The Service will be uninterrupted, timely, secure, or error-free.

Any Outputs will be accurate, complete, reliable, or suitable for any particular purpose.

Outputs are original or free from third-party intellectual property claims.

Any defects in the Service will be corrected.

Following any Output or recommendation will result in business success, revenue, or any particular outcome.

Third-party integrations or partner tools will remain available or function as expected.
You assume all risk associated with your use of the Service and reliance on Outputs.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUILDLOOPS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY OUTPUTS, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
The following are not subject to the liability cap above and are excluded from the limitation of liability: (a) either party's indemnification obligations; (b) either party's breach of confidentiality; (c) your violation of Section 7 (Acceptable Use) or Section 4.4 (Prohibited AI Uses); and (d) amounts owed under Section 5 (Payment).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless BuildLoops, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; (d) your violation of any law or third-party rights; (e) any business decisions you make based on Outputs from the Service; or (f) your use of Outputs in violation of Section 4.4 (Prohibited AI Uses).
13. Term and Termination
13.1 Term
These Terms are effective when you first access or use the Service and continue until terminated.
13.2 Termination by You
You may terminate your account at any time through your account settings or by contacting us at support@buildloops.ai. Termination of a paid Subscription takes effect at the end of the current billing period. You will not receive a prorated refund for any unused portion of a billing period.
13.3 Termination by BuildLoops
We may suspend or terminate your access to the Service at any time if: (a) you breach these Terms; (b) your use poses a security risk to the Service or other users; (c) we are required to do so by law; or (d) we discontinue the Service. For paid subscribers, we will provide at least 30 days' notice except where immediate action is required for security or legal reasons.
13.4 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will retain your data for 90 days following termination to allow you to export your Content, Outputs, and accumulated Context in machine-readable format (JSON/CSV) through your account settings or by request to support@buildloops.ai. After 90 days, your data will be deleted or anonymized in accordance with our Privacy Policy.
The following sections survive termination: Sections 4 (AI Terms Addendum), 6.4 (Feedback), 8 (Intellectual Property), 9 (Confidentiality), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution).
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any legal action or proceeding relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at legal@buildloops.ai and attempt to resolve the dispute informally for at least 60 days.
15.2 Arbitration
If we cannot resolve a dispute informally, you and BuildLoops agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration will take place in Wilmington, Delaware, or remotely as agreed by the parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.3 Class Action Waiver
YOU AND BUILDLOOPS AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.
15.4 Exceptions
Nothing in this section prevents either party from: (a) seeking injunctive or other equitable relief in court for claims related to intellectual property infringement, data security, or unauthorized access; or (b) bringing claims in small claims court if the claims qualify under that court's jurisdictional limits.
16. Copyright and DMCA Policy
We respect the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, please submit a notice to our designated agent at dmca@buildloops.ai with the following information: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; and (e) a statement under penalty of perjury that the information in the notification is accurate and that you are the copyright owner or authorized to act on behalf of the owner. We will respond to valid DMCA notices in accordance with applicable law.
17. Changes to These Terms
We may modify these Terms at any time. When we make material changes, we will notify you by email and by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.
18. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy, AI Terms Addendum (Section 4), Acceptable Use Policy, Data Processing Addendum (where applicable), and any other policies referenced herein, constitute the entire agreement between you and BuildLoops regarding the Service.
Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure. Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, internet or infrastructure failures, or disruptions to third-party AI model providers.
Notices. Notices to you will be sent to the email address associated with your account. Notices to us should be sent to legal@buildloops.ai.
